These Terms of Service (“Terms”) are a legal agreement between you (“User,” “you,” or “your”) and Sari Data Sdn. Bhd., a company incorporated under the laws of Malaysia (“Sari Data,” “we,” “us,” or “our”). Sari Data operates the CIMCalc service accessible at cimcalc.com (the “Service”).
By creating an account, accessing the Service, or submitting a document to the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
CIMCalc is a computational screening tool that processes financial documents, including Confidential Information Memoranda (CIMs), annual reports, and SEC filings. The Service extracts data from uploaded documents, computes financial metrics, and produces risk screening reports calibrated to the user’s stated acquisition thesis.
CIMCalc does not provide investment advice, legal advice, tax advice, or any form of professional recommendation. The Service produces computational readings based on published academic models and user-defined parameters. The output of the Service is not a substitute for professional due diligence, and no screening report should be treated as a recommendation to proceed with, or refrain from, any investment or transaction.
The Service is a calculator, not an advisor. It measures data against thresholds that the user defines or approves. The verdicts produced (KILL, FLAG, CONCERN, CLEAR) are computational outputs, not opinions or recommendations.
To use the Service beyond the interactive demo, you must create an account by providing a valid email address and accepting these Terms. You are responsible for maintaining the confidentiality of your account credentials.
The Service is intended for use by professionals engaged in mergers and acquisitions, private equity, corporate development, and related fields. You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.
During the beta period, access is by invitation only and limited to 25 seats. Beta users receive free access in exchange for providing feedback on each screening report. Sari Data reserves the right to modify, limit, or discontinue beta access at any time.
You retain all ownership rights to documents you upload to the Service. By submitting a document, you grant Sari Data a limited, non-exclusive, temporary license to process the document solely for the purpose of generating your screening report.
By submitting a document, you represent and warrant that: (a) you have the legal right to submit the document to an automated processing service; (b) your submission does not violate any non-disclosure agreement, confidentiality obligation, or other contractual restriction; and (c) you understand the document will be processed by automated systems including large language models.
Each time you submit a document, you will confirm these representations and accept the data handling terms described in Section 5 and the Privacy Policy.
All document processing occurs on Amazon Web Services (AWS) infrastructure in the United States. Documents are encrypted in your browser before transmission (AES-256), encrypted in transit (TLS 1.3), and encrypted at rest (AWS KMS). Documents are decrypted only within isolated processing containers.
No Sari Data employee, contractor, or agent has access to your documents at any stage. The Service is fully automated with no manual review step.
Document analysis uses large language models through AWS Bedrock. Under Bedrock’s terms, customer inputs and outputs are not used for model training, and no content is retained after processing.
Source documents are permanently deleted after report generation. Reports are stored encrypted for 90 days and are user-deletable at any time.
The Service is offered on a per-report basis at prices published on cimcalc.com. Payments are processed by Stripe on behalf of Sari Data Sdn. Bhd. Reports are non-refundable once processing has begun. If the Service fails to generate a report due to a technical error, you will receive a full refund or a replacement credit.
During the beta period, the Service is provided at no charge.
The Service, including its software, algorithms, methodology, and all associated documentation, is the exclusive intellectual property of Sari Data Sdn. Bhd. Screening reports generated by the Service are your property to use for any lawful purpose.
If you provide feedback or suggestions about the Service, you grant Sari Data a non-exclusive, worldwide, royalty-free license to use and incorporate such feedback.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. SARI DATA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT EXTRACTED DATA WILL BE COMPLETE OR ACCURATE, OR THAT SCREENING VERDICTS WILL BE CORRECT OR SUITABLE FOR ANY PURPOSE.
THE SERVICE IS A COMPUTATIONAL TOOL. THE OUTPUTS ARE READINGS, NOT RECOMMENDATIONS. YOU ARE SOLELY RESPONSIBLE FOR ALL INVESTMENT DECISIONS.
SARI DATA’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED FIVE TIMES (5×) THE TOTAL FEES PAID BY YOU TO SARI DATA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, BUT IN NO EVENT MORE THAN USD $5,000. SARI DATA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
You agree to indemnify Sari Data against claims arising from: your use of the Service in violation of these Terms; submission of documents you did not have the right to process; investment decisions based on Service output; or violation of applicable law.
These Terms shall be governed by the laws of Malaysia. Disputes shall be resolved by arbitration administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, Malaysia.
Sari Data may modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect.
You may terminate your account at any time. Sari Data may suspend or terminate access with notice. Sections 7–11 survive termination.
These Terms and the Privacy Policy constitute the entire agreement. If any provision is unenforceable, the remainder continues in effect.
